1. Agreement to Terms
By accessing and using SwiftDocs ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These Terms of Service apply to all users of SwiftDocs, including but not limited to users who are contributors of content, information, and other materials or services.
2. Service Description
SwiftDocs is a cloud-based Quality Management System (QMS) and document management platform designed for pharmaceutical and biotechnology organizations. The Service provides features including:
- Document repository and version control
- Electronic signature capabilities (FDA 21 CFR Part 11 compliant)
- Automated audit trails and compliance logging
- Workflow management and approval routing
- User access controls and role-based permissions
- Search and document discovery functionality
- Training management and compliance tracking
- Notification and alert systems
3. User Accounts and Responsibility
When you create an account on SwiftDocs, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and are solely responsible for all activities that occur under your account. You agree to notify SwiftDocs immediately of any unauthorized use of your account.
You grant other users in your organization access to documents and features based on the permissions you assign. You remain responsible for all actions taken by users in your organization.
4. GxP Compliance Disclaimer
IMPORTANT: While SwiftDocs is designed to support GxP-regulated activities and is built to meet 21 CFR Part 11 requirements, YOU are responsible for:
- Conducting your own validation and qualification of the Service for your specific use cases
- Implementing appropriate controls and procedures within your organization
- Maintaining compliance with all applicable regulatory requirements
- Conducting audits and inspections as required by your regulatory framework
- Ensuring all users understand their responsibilities under applicable regulations
SwiftDocs provides tools and infrastructure to support compliance, but does not guarantee regulatory compliance. Your use of SwiftDocs does not constitute validation or qualification for regulated use.
5. Acceptable Use
You agree not to use SwiftDocs to:
- Upload, post, transmit or otherwise make available any content that is unlawful, harassing, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service
- Circumvent any measures implemented to prevent or restrict access to the Service
- Store or transmit any malicious code or viruses
6. Document Management and Data Control
You retain all rights, title, and interest in documents you upload to SwiftDocs. By uploading documents, you grant SwiftDocs a worldwide, non-exclusive license to store, transmit, and display your documents for the purpose of providing the Service.
You are responsible for the accuracy, completeness, and compliance of all documents stored in SwiftDocs. You represent and warrant that you have the right to upload and share all documents stored in the Service.
7. Electronic Signatures and Records
By using SwiftDocs's electronic signature features, you acknowledge that:
- You understand and accept the legal implications of electronically signed documents
- You have the authority to electronically sign documents on behalf of your organization
- Electronic signatures created through SwiftDocs are intended to have the same legal effect as handwritten signatures
- You will maintain proper identification and authentication procedures for signature authorization
8. Audit Trail and Compliance Records
SwiftDocs automatically maintains audit trails of all activities including document uploads, modifications, access, and electronic signatures. You agree that:
- Audit trail records are part of the regulatory record for your organization
- You will preserve audit trail records in accordance with applicable retention requirements
- You will not alter, delete, or tamper with audit trail records
- You may be required to produce audit trail records during regulatory inspections
9. Third-Party Services
SwiftDocs uses third-party services including:
- Amazon Web Services (AWS): For cloud infrastructure and storage
- Stripe: For payment processing
- SendGrid: For email communications
- Anthropic (Claude AI): For AI-powered features (optional)
Your use of SwiftDocs is subject to the terms and privacy practices of these third-party providers. We are not responsible for their practices or policies.
10. Intellectual Property Rights
SwiftDocs and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by SwiftDocs, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.
11. Payment and Billing
By selecting a paid plan, you authorize SwiftDocs to charge your payment method for the subscription fees. Billing will occur monthly unless you select an annual plan. You are responsible for providing accurate payment information and updating it if it changes.
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes.
12. Cancellation and Termination
You may cancel your account at any time. Upon cancellation, you will have 30 days to download your data before it is deleted from our servers. We may terminate your access to the Service at any time for violation of these Terms or for any other reason.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SWIFTDOCS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF SWIFTDOCS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The entire liability of SwiftDocs for any claim arising from these Terms shall not exceed the amount you paid in fees in the twelve months preceding the claim.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. SWIFTDOCS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Indemnification
You agree to indemnify and hold harmless SwiftDocs from any claims, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflicts of law principles.
17. Changes to Terms
SwiftDocs reserves the right to modify these Terms at any time. Your continued use of the Service following the posting of modified Terms means that you accept and agree to the changes.
